Helen Ribeiro is an Associate Member of the Institute of Law Clerks of Ontario and has been working at leading law firms in the Waterloo Region as a corporate law clerk for 17 years.
Helen grew up in Toronto and then went on to obtain her Law Clerk Diploma from Fanshawe College in London, Ontario, where she graduated with honours. Following graduation, she worked as a corporate searcher in downtown Toronto and also at a small Etobicoke law firm where she worked in the areas of real estate and litigation.
In 1990 Helen joined the Kitchener office of Gowling Strathy & Henderson and commenced her career as a corporate law clerk. In 1996 she joined the corporate and commercial law group at the Kitchener firm of McCarter Grespan Robson Beynon, where she continued her work as a law clerk until joining the firm of Clifton Kok LLP as both Senior Law Clerk and Office Manager.
Helen is a highly qualified and experienced corporate law clerk and has been involved in a wide variety of complex and sophisticated business transactions. Her corporate experience includes all facets of legal work relating to company creation and organization including the following: provincial and federal incorporations, business name registrations, extra-provincial registrations, preparation of annual proceedings, minute book reviews and preparation of deficiency reports, amalgamations, dissolutions, continuances and amendments.
Helen’s drafting and transactional experience is similarly extensive and she has provided pivotal support to legal counsel in the completion of virtually all manner of corporate and commercial transactions. This experience includes the drafting of share provisions and documents relating to s. 85 rollovers, s. 86 estate freezes, as well as all manner of mergers, acquisitions and corporate reorganizations.
In addition to playing a significant role in the firm’s corporate law practice and as the firm’s chief administrator, Helen also provides support in the other areas of practice at Clifton Kok LLP, including condominium management law and real estate transactions.
Outside of her legal practice, Helen provides volunteer service to a number of charities and fund-raising events in her community, including HopeSpring in Kitchener. Helen resides in Kitchener with her family and is a dedicated wife and the mother of four children.

Terry Audette is a native of London, Ontario. Prior to entering the law clerk program at Fanshawe College in 2003, Terry worked primarily in the automotive industry for more than a decade after receiving initial training as a welder.
Terry’s decision to enter the field of law many years after completing her high school education was inspired in part by an avid interest in criminal law stories and information, as well as a desire to be able to give her daughter a greater awareness of the legal and social systems in which she was living.
The constantly changing nature of law, and the requirement for on-going learning, were different from Terry’s previous “factory” work experiences, but quickly engaged her. She successfully graduated from the Fanshawe College law clerk program in 2005 and began applying her education in various environments. Although Terry achieved high honours in the Criminal Law class at Fanshawe, that was ultimately not to be the direction of her career.
Terry initially worked for the City of Mississauga while still a student at Fanshawe College. She had the opportunity there to develop skills related to real property, and was particularly introduced to the analysis and review of maps and surveys and identifying properties. She worked on projects relating to the separation of municipal and privately owned lands and the determination of boundaries.
After her graduation, Terry worked for a property lease company, dealing particularly with mineral leases. Terry was involved in researching title and drafting both legal and survey-related documentation. Unfortunately, when that company began significant down-sizing, Terry’s junior status made her one of the first to go. That’s company’s loss was Clifton Kok LLP’s gain.
Since joining Clifton Kok LLP in Fall, 2007, Terry has assisted in a variety of capacities, giving essential support to the Office Manager as well as to each of the lawyers in both corporate and real property law practices. Terry’s prior work experiences have aptly suited her to become more involved in the condominium development and management law practices at Clifton Kok LLP.
Terry’s personal interests involve baking, photography and poetry. She is an avid fan of car racing, attending the Delaware Speedway as often as possible, and is the devoted mother of a teenage daughter.
